1. Acceptance of Terms

By accessing or using AgentDynamics' AI voice automation services, you ("Customer," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you are entering into this agreement on behalf of an automotive dealership or company, you represent that you have the authority to bind such entity to these Terms.

2. Description of Service

AgentDynamics provides AI-powered voice automation services specifically designed for automotive dealerships. Our services include:

• Automated customer outreach for sales, service, and parts departments
• Lead follow-up and qualification services
• Appointment scheduling and booking automation
• Service reminders and recall notifications
• Customer survey and feedback collection
• Integration with dealership CRM and DMS systems

3. User Responsibilities

You agree to:

• Provide accurate and complete information when setting up your account
• Maintain the security of your account credentials
• Ensure compliance with all applicable laws, including TCPA, CAN-SPAM, and state privacy laws
• Obtain proper consent before providing customer contact information
• Use the service only for legitimate business purposes related to your dealership operations
• Not attempt to reverse engineer, modify, or interfere with our AI systems

4. Service Availability

We strive to maintain 99.9% uptime for our services. However, we do not guarantee uninterrupted service and may perform scheduled maintenance that temporarily affects availability. We will provide reasonable notice of planned maintenance when possible.

5. Intellectual Property

All intellectual property rights in the AgentDynamics platform, including but not limited to software, AI models, algorithms, and documentation, remain the exclusive property of AgentDynamics Inc. You are granted a limited, non-exclusive license to use our services solely for your dealership operations.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTDYNAMICS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF OUR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

7. Termination

Either party may terminate this agreement with 30 days' written notice. We may terminate immediately if you breach these Terms or engage in fraudulent or illegal activities. Upon termination, your access to the service will cease, and we will delete your data according to our data retention policies.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
